9. Choice of Law and Venue.
This Agreement is entered into in the State of New Jersey, U.S.A., and shall be governed by and construed in accordance with the laws of the State of New Jersey, U.S.A., exclusive of its choice of law rules. MAC and you hereby submit to the exclusive jurisdiction of the U.S. Federal and State courts sitting in the Counties of Atlantic or Camden, in the State of New Jersey, U.S.A., and waive any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to reasonable professional fees and expenses. In the event that any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that this Agreement and the other provisions in this Agreement shall remain otherwise in full force and effect.
